Service Agreement

This Service Agreement ("Agreement") is entered into between VistaraPay Ventures Private Limited ("VistaraPay", "Company", "we", "our", or "us") and any individual, business, merchant, retailer, distributor, or other entity ("User", "Customer", or "Merchant") accessing or using our website, applications, or services.

By accessing or using our platform, you agree to be legally bound by this Agreement.

VistaraPay provides a technology platform for digital services, which may include:

• Travel booking services
• Utility bill payment services
• Merchant payment solutions
• Digital payment facilitation
• B2B retailer and distributor services
• Value-added financial and technology services
• Other services introduced from time to time

Some services are provided through authorized third-party partners and service providers.

To use our services, you must:

• Be at least 18 years of age.
• Be legally capable of entering into binding contracts.
• Provide accurate and complete information.
• Comply with all applicable laws and regulations.

You agree to:

• Provide true and accurate information.
• Maintain the confidentiality of your account credentials.
• Verify all transaction details before confirming payment.
• Use the platform only for lawful purposes.
• Immediately notify us of any unauthorized account activity.

You are solely responsible for all activities conducted through your account.

All applicable service charges, convenience fees, taxes, and payment gateway charges will be displayed before confirmation of the transaction.

By completing a transaction, you authorize the Company and its payment partners to process the payment.

Cancellation and refund requests shall be governed by the Company's published Cancellation & Refund Policy.

Refund eligibility depends on the nature of the service, supplier policies, transaction status, and applicable laws.

Certain services are provided through third-party providers such as airlines, hotels, banks, payment gateways, utility operators, and government agencies.

VistaraPay is not responsible for delays, cancellations, pricing changes, service quality, or other actions of third-party providers.

While we strive to provide uninterrupted service, we do not guarantee that the platform will always be available.

Services may be interrupted due to maintenance, technical issues, network failures, security incidents, or circumstances beyond our control.

Users shall not:

• Use the platform for illegal or fraudulent purposes.
• Attempt unauthorized access to any system or account.
• Upload malicious software or harmful content.
• Misuse payment instruments or engage in money laundering.
• Violate any applicable law or regulation.

Violation may result in suspension or termination of access and legal action.

All trademarks, logos, software, content, designs, graphics, and other intellectual property displayed on the platform belong to VistaraPay or its licensors.

No material may be copied, reproduced, modified, or distributed without prior written permission.

Your personal information is collected, used, and protected in accordance with our published Privacy Policy.

To the maximum extent permitted by law, VistaraPay shall not be liable for:

• Indirect or consequential losses.
• Loss of profits or business opportunities.
• Delays caused by third parties.
• Bank or payment gateway failures.
• Technical or network interruptions.
• Force majeure events.

The Company's total liability shall not exceed the amount paid by the customer for the relevant transaction.

The VistaraPay platform is currently under development. Features, pricing, workflows, integrations, and services may be modified, suspended, or expanded without prior notice.

VistaraPay Ventures Private Limited is in the process of obtaining the required registrations and approvals for Bharat Bill Payment System (BBPS) services.

Any BBPS-related functionality will become available only after all necessary approvals and integrations have been completed.

The Company may suspend or terminate any account or restrict access without prior notice if it reasonably believes that:

• This Agreement has been violated;
• Fraudulent or suspicious activity has occurred;
• Required by law or regulatory authorities.

This Agreement shall be governed by the laws of the Republic of India.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts where the Company's registered office is situated.

VistaraPay reserves the right to amend or update this Agreement at any time.

The latest version will be published on the Company's website and shall become effective immediately upon publication.
